Move from pitch to file

US teams often begin with a commercial thesis and target date. Polish onboarding moves only when ownership, authority, tax and source-of-funds evidence are complete.

Contracts are operational

Do not rely on a concise term sheet to carry implementation. Polish advisers and banks will expect detailed corporate resolutions, representation rules and locally valid execution.

Direct works well

Clear agendas and decisions translate well, but Polish counterparts may be more cautious about optimistic forecasts. Separate confirmed facts, assumptions and commitments.

LLC is not sp. z o.o.

A US LLC shareholder can work, but tax classification, beneficial ownership and apostilled formation/authority documents require case-specific review.
