Is a virtual office legal?
Polish law does not generally prohibit a company from using a genuine registered-office service. The company should have a documented legal basis to use the address, and the provider must actually receive, record and handle correspondence according to the agreement.
‘Virtual’ should describe the flexible service model—not a fictitious address. Banks and authorities may ask for the agreement, operating model and proof that the company can be contacted.
02 · Terminology
Seat, address and correspondence address
Registered seat (siedziba)
The locality identified in the articles, such as Poznań. It influences registry and jurisdiction questions.
Registered address
The detailed street address disclosed for the company and used in official and commercial records.
Correspondence address
An address nominated for a particular process. It may differ, but does not replace company data required in KRS.
03 · Due diligence
What banks and offices actually check
Legal title
The agreement should clearly allow the relevant company to use the address for registration and correspondence.
Commercial credibility
Inventory, manufacturing or licensed operations may require real premises beyond an administrative office.
Reliable delivery
Notification, scanning, collection and forwarding rules should be explicit; missed official mail can trigger serious consequences.
KYC/KYB readiness
The provider should verify the company, representatives and beneficial owners and keep authority and contact details current.
04 · Digital official mail
e-Doręczenia runs alongside the physical address
For sp. z o.o. companies, e-Doręczenia is not an October 2026 future deadline. Companies entering KRS from 1 January 2025 obtain the address through registration, while companies already registered in KRS before that date have generally been subject to the requirement since 1 April 2025.
The 1 October 2026 milestone concerns older CEIDG businesses. A physical virtual-office provider does not automatically administer a client’s e-Doręczenia inbox unless separately agreed and legally authorised.
05 · Selection
Choosing the right model
Physical office
Higher cost and commitment; suitable for teams, storage, regular visits or activities needing dedicated premises.
Virtual office
Lower fixed cost and greater flexibility; often suitable for holding, consulting and early-stage international companies.
Legal validity
Either can be valid. What matters is genuine rights to the address, accurate registration and reliable correspondence handling.
